State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
VirnetX Holding Corporation, a Delaware corporation (the “Company”), is filing this Notification of Late Filing on Form 12b-25 with respect to its Quarterly Report on Form 10-Q for the period ended March 31, 2022 (the “Form 10-Q”). The Company
has determined that it is unable to file the Form 10-Q within the prescribed time period.
On May 9, 2022, the Company’s Board of Directors determined that the Company needed to amend its Annual Report on Form 10-K for the year ended December 31, 2021 to correct an overstatement of its deferred tax asset to remove expired options. The
Company will file the Form 10-Q following the filing of a Form 10-K/A to correct the overstatement that is expected to be within the 5 days provided for by this filing of this Form 12b-25.
For these reasons, the Company is unable to finalize its financial results and to file the Form 10-Q within the prescribed time period without unreasonable effort or expense.
